DailyTM Commercial Source Licence
Version 1.0 — 30 August 2026
Copyright (c) 2026 Asante Gideon, trading as Nyansa Studio. All rights reserved.
This is a commercial licence for source code. It is not an open-source licence.
Read section 4 before redistributing anything.
--------------------------------------------------------------------------------
0. DEFINITIONS
--------------------------------------------------------------------------------
"Software" means the DailyTM source code in this repository, its documentation,
its configuration, and any update or patch supplied to You under this licence.
"Licensor" means Asante Gideon, trading as Nyansa Studio, the copyright holder
named above.
"You" means the individual or the single legal entity that acquired the Software
from the Licensor or from an authorised reseller.
"Your Organisation" means You, and — where You are a legal entity — the
subsidiaries and affiliates You control. It does not mean Your clients,
customers, or any separate entity You provide services to.
"Deploy" means to install and run the Software, or a work derived from it, on
infrastructure You control or pay for, whether public, private, or local.
"End User" means a person who uses a Deployment through its interface without
being given access to the Software's source code.
--------------------------------------------------------------------------------
1. GRANT
--------------------------------------------------------------------------------
Subject to Your compliance with this licence, the Licensor grants You a
perpetual, worldwide, non-exclusive, non-transferable, non-sublicensable licence
to:
a) use, copy, and store the Software;
b) modify the Software and create works derived from it;
c) Deploy the Software and any work derived from it, in an unlimited number of
Deployments — development, staging, and production — for the internal
business purposes of Your Organisation;
d) serve an unlimited number of End Users from those Deployments, including
paying customers of Your Organisation, provided those End Users are not
given access to the Software's source code; and
e) use the Software commercially, including in a product or service You charge
money for.
The grant is per organisation. One purchase covers Your Organisation, not a
second entity, not a client You build for, and not a company You later sell a
copy to.
--------------------------------------------------------------------------------
2. WHAT YOU DO NOT HAVE TO DO
--------------------------------------------------------------------------------
For the avoidance of doubt, and because these are the questions buyers ask:
a) You do not owe the Licensor any share of revenue.
b) You do not have to publish Your modifications, and modifications You make
are Yours.
c) You do not have to display the DailyTM name, mark, or a "powered by" credit
in Your Deployment. You may rebrand it entirely.
d) You do not have to renew anything. The grant in section 1 is perpetual for
the version You received, and is not conditioned on an active subscription.
--------------------------------------------------------------------------------
3. ATTRIBUTION
--------------------------------------------------------------------------------
You must retain this LICENCE file, and the copyright notice above, in every copy
of the Software's source code that You hold or that circulates inside Your
Organisation. This applies to source; it does not apply to a Deployment's user
interface, which section 2(c) leaves entirely to You.
--------------------------------------------------------------------------------
4. RESTRICTIONS
--------------------------------------------------------------------------------
You may not:
a) redistribute, publish, sell, resell, rent, lease, lend, or sublicense the
Software's source code, in whole or in part, whether modified or not,
whether for money or for free;
b) publish the Software, or a work derived from it, as a template, starter
kit, boilerplate, course material, sample repository, or training corpus;
c) make the Software's source code available in a public repository, a public
package registry, a file-sharing service, or any other public location;
d) Deploy the Software on behalf of a third party as a substitute for that
third party acquiring their own licence, or operate it as a multi-tenant
service whose tenants are separate businesses each being sold what is
effectively their own copy;
e) remove, obscure, or alter the copyright notice or this LICENCE file in the
source code; or
f) use the Licensor's name, logo, or trade marks to endorse or promote Your
product without written permission.
Section 4(d) is not a restriction on ordinary use. Running one Deployment that
serves Your own customers as End Users is exactly what section 1(d) permits. The
line is whether the value You are selling is the Software itself.
--------------------------------------------------------------------------------
5. AGENCY AND CONTRACTOR USE
--------------------------------------------------------------------------------
If You build a Deployment for a client, the client's organisation needs its own
licence, and it is the client who must hold it. You may work on the Software on
the client's behalf under their licence. One purchase does not cover an
unlimited number of client projects.
--------------------------------------------------------------------------------
6. OWNERSHIP
--------------------------------------------------------------------------------
The Software is licensed, not sold. The Licensor retains all right, title, and
interest in the Software, including all intellectual property rights in it. This
licence grants You no rights other than those expressly stated in section 1.
You own the modifications You write, to the extent they are separable from the
Software. You do not thereby own the Software.
--------------------------------------------------------------------------------
7. THIRD-PARTY COMPONENTS
--------------------------------------------------------------------------------
The Software depends on third-party open-source packages, which are not covered
by this licence and remain governed by their own. Those licences are listed in
docs/THIRD-PARTY-LICENSES.md. Nothing in this licence restricts a right You hold
under one of them, and nothing in this licence grants You a right to a
third-party component beyond what its own licence grants.
--------------------------------------------------------------------------------
8. NO WARRANTY
--------------------------------------------------------------------------------
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
The Licensor does not warrant that the Software is free of defects, that it will
meet Your requirements, or that its operation will be uninterrupted. You are
responsible for evaluating it before Deploying it, and for the security,
configuration, backup, and legal compliance of Your Deployments.
--------------------------------------------------------------------------------
9. LIMITATION OF LIABILITY
--------------------------------------------------------------------------------
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE
LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR
CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL,
ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THIS LICENCE, WHETHER IN
CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
THE LICENSOR'S TOTAL AGGREGATE LIABILITY UNDER THIS LICENCE SHALL NOT EXCEED THE
AMOUNT YOU PAID FOR THE SOFTWARE.
Some jurisdictions do not allow the exclusion of certain warranties or the
limitation of certain liabilities. Where that is so, the exclusions and
limitations above apply to the greatest extent those laws permit, and nothing
here limits liability for fraud, for death or personal injury caused by
negligence, or for anything else that cannot lawfully be limited.
--------------------------------------------------------------------------------
10. TERM AND TERMINATION
--------------------------------------------------------------------------------
This licence takes effect when You first obtain the Software and continues
perpetually unless terminated.
It terminates automatically if You breach section 4, and the breach is not cured
within thirty (30) days of the Licensor giving You written notice of it. On
termination You must stop Deploying the Software and destroy every copy of its
source code in Your possession.
Sections 6, 8, 9, and 11 survive termination.
--------------------------------------------------------------------------------
11. GENERAL
--------------------------------------------------------------------------------
This licence is the entire agreement between You and the Licensor concerning the
Software, and supersedes any prior understanding. If a provision is held
unenforceable, it is modified to the minimum extent necessary to make it
enforceable, and the remaining provisions stay in force. A failure to enforce a
provision is not a waiver of it.
--------------------------------------------------------------------------------
12. NEED SOMETHING ELSE?
--------------------------------------------------------------------------------
If You need terms this licence does not grant — an agency licence covering
multiple clients, an OEM or redistribution right, a source-escrow arrangement,
or a licence for a second entity — those are available. Ask.
